Nexus Q Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Nexus Q, operated by Fluxa Ventures ("Company," "we," "us," or "our"). By accessing or using any services available through nexusq.live or any associated domains, applications, or platforms (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you do not agree to these Terms in their entirety, you must immediately discontinue use of all Services. Your continued use of any Service after the posting of revised Terms constitutes your acceptance of those changes.

2. Description of Services

Nexus Q is a quant intelligence ecosystem providing analytical tools and data-driven insights for cryptocurrency derivatives markets. The platform consists of the following products:

• Nexus Glass — A real-time market intelligence platform offering liquidation data visualization, whale pressure mapping, and forced move modeling across multiple exchanges. Nexus Glass surfaces structural market data; it does not provide trade recommendations.
• Agent Nexus — An AI-powered decision engine that processes structured market data and generates analytical outputs. Agent Nexus is a decision-support tool and does not execute trades on your behalf unless explicitly configured by you to do so.
• Nexus Suite — A unified execution and risk control panel for position management, simulation, and real-time monitoring. Nexus Suite provides interfaces for trade execution but all decisions and actions remain solely your responsibility.

Our Services are tools designed to assist in analysis and decision-making. They are not automated trading systems, robo-advisors, or investment managers. All trading decisions are made by you, and you bear full responsibility for the outcomes of those decisions.

3. Eligibility

To use our Services, you must:

• Be at least 18 years of age (or the age of legal majority in your jurisdiction, whichever is greater).
• Have sufficient knowledge and experience in financial markets, particularly cryptocurrency derivatives, to understand the risks involved.
• Not be a resident of, or located in, any jurisdiction where the use of our Services would violate applicable law or regulation.
• Not be subject to any sanctions administered or enforced by any governmental authority, including but not limited to the U.S. Office of Foreign Assets Control (OFAC), the United Nations Security Council, or the European Union.
• Comply with all applicable laws and regulations in your jurisdiction relating to cryptocurrency trading and the use of analytics platforms.

We reserve the right to restrict or deny access to any user at our sole discretion, without prior notice, if we have reason to believe the eligibility requirements are not met.

4. Account Registration & Security

Certain features of the Services may require you to create an account. When registering, you agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and promptly update your account information to keep it accurate and complete.
• Maintain the security and confidentiality of your login credentials, including any API keys.
• Accept full responsibility for all activities that occur under your account.
• Notify us immediately at support@nexusq.live if you suspect any unauthorized use of your account or any other breach of security.

You may not share, transfer, or sell your account or credentials to any third party. We are not liable for any loss or damage arising from your failure to maintain the confidentiality of your account credentials.

5. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You specifically agree not to:

• Use the Services to engage in market manipulation, wash trading, spoofing, or any other form of fraudulent or deceptive market activity.
• Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or data models underlying the Services.
• Scrape, crawl, or use automated means to extract data from the Services beyond what is permitted through our APIs.
• Resell, redistribute, sublicense, or commercially exploit any data, analytics, or outputs from the Services without prior written consent from Nexus Q.
• Interfere with, disrupt, or attempt to gain unauthorized access to the Services, servers, or networks connected to the Services.
• Use the Services in any manner that could damage, disable, overburden, or impair our infrastructure.
• Transmit any malware, viruses, or other harmful code through the Services.
• Violate any applicable local, national, or international law or regulation.

We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates this provision, including suspension or termination of access and referral to law enforcement authorities.

6. Intellectual Property

All content, features, functionality, software, designs, text, graphics, data compilations, algorithms, models, and trademarks available through the Services are owned by Nexus Q, Fluxa Ventures, or their licensors and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business purposes. This license does not include the right to:

• Modify, copy, or create derivative works based on the Services or any part thereof.
• Use any data mining, robots, or similar data gathering or extraction methods.
• Publicly display, publicly perform, or distribute any content from the Services to third parties.
• Use the Nexus Q name, logos, or trademarks without prior written authorization.

7. Disclaimers & Risk Warnings

7.1 No Financial Advice

Nexus Q does not provide financial advice, investment advice, legal advice, tax advice, or any other form of professional advice. All information, data, analytics, signals, and outputs provided through the Services are for informational and educational purposes only. Nothing contained in or provided by the Services shall be construed as a solicitation, recommendation, endorsement, or offer to buy or sell any security, derivative, or financial instrument.

You should consult with a qualified financial advisor, attorney, or tax professional before making any investment or trading decisions.

7.2 Trading Risk

Trading cryptocurrency derivatives involves a high degree of risk and may result in the loss of all invested capital. Leverage, volatility, liquidity risk, and counterparty risk are inherent to derivatives trading. You should only trade with funds you can afford to lose entirely.

Specific risks include but are not limited to:

• Rapid and substantial price fluctuations leading to significant losses.
• Liquidation of leveraged positions resulting in total loss of margin.
• Exchange outages, system failures, or connectivity issues preventing timely order execution.
• Regulatory changes that may impact the legality or availability of trading activities in your jurisdiction.
• Smart contract vulnerabilities, protocol risks, and other technology-related failures inherent to decentralized systems.

7.3 No Performance Guarantees

Past performance does not guarantee future results. Any historical data, backtested results, simulated performance, or analytics presented through the Services are provided for informational purposes only and should not be interpreted as indicative of future performance. Market conditions change, and strategies that performed well historically may incur losses in the future.

7.4 Professional Traders Only

The Services are designed for and intended to be used by professional and experienced traders who possess the requisite knowledge, expertise, and risk tolerance to engage in cryptocurrency derivatives trading. If you do not have substantial experience in derivatives markets and a thorough understanding of the associated risks, you should not use these Services.

7.5 Data & AI Limitations

While we strive to provide accurate and timely market data and analytics, we do not warrant the accuracy, completeness, reliability, or timeliness of any information provided through the Services. Market data may be delayed, incomplete, or contain errors. AI-generated outputs, including those from Agent Nexus, are probabilistic in nature and may be incorrect, misleading, or inappropriate for your specific circumstances. You are solely responsible for verifying all information and outputs before acting upon them.

7.6 Third-Party Exchanges & Services

The Services may interface with or display data from third-party cryptocurrency exchanges and data providers. Nexus Q is not affiliated with, endorsed by, or responsible for any third-party exchange, platform, or service. We are not responsible for any losses incurred through interactions with third-party services, including but not limited to exchange insolvency, hacks, or regulatory actions against third parties.

7.7 Service Provided "As Is"

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. We expressly disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, secure, or free of viruses or other harmful components.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NEXUS Q, FLUXA VENTURES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, data, goodwill, or other intangible losses.
• Trading losses, whether or not resulting from reliance on the Services.
• The cost of procurement of substitute goods or services.
• Unauthorized access to or alteration of your data or transmissions.
• Any conduct or content of any third party on or related to the Services.

IN NO EVENT SHALL OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES EXCEED THE TOTAL AMOUNT PAID BY YOU TO NEXUS Q IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS (USD $100), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the fullest extent permitted by law.

9. Indemnification

You agree to indemnify, defend, and hold harmless Nexus Q, Fluxa Ventures, and their respective officers, directors, employees, agents, licensors, and suppliers from and against all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

• Your use of the Services or any activity under your account.
• Your violation of these Terms or any applicable law or regulation.
• Your trading activities or decisions, whether or not influenced by the Services.
• Any content or data you submit, post, or transmit through the Services.
• Your violation of any rights of any third party.

10. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, with or without notice, effective immediately. Grounds for termination include, but are not limited to:

• Breach of any provision of these Terms.
• Conduct that we reasonably believe is harmful to other users, third parties, or our business.
• Requests by law enforcement or other governmental agencies.
• Extended periods of account inactivity.
• Unexpected technical or security issues.

You may terminate your account at any time by contacting us at support@nexusq.live. Upon termination, your right to use the Services ceases immediately. Sections that by their nature should survive termination shall survive, including but not limited to: Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Fluxa Ventures is incorporated, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the applicable arbitration body in that jurisdiction, unless otherwise required by applicable law.

You agree that any claim or cause of action arising out of or related to the Services or these Terms must be filed within one (1) year after such claim or cause of action arose, or be forever barred. You waive any right to participate in a class action lawsuit or class-wide arbitration against Nexus Q or Fluxa Ventures.

12. Changes to Terms

We reserve the right to modify, amend, or replace these Terms at any time at our sole discretion. When we make material changes, we will update the "Last updated" date at the top of this page and, where practicable, provide notice through the Services or via email.

Your continued use of the Services after any such changes constitutes your binding acceptance of the revised Terms. If you do not agree to the modified Terms, you must discontinue use of the Services immediately. It is your responsibility to review these Terms periodically for changes.
